Model Library Terms & Conditions.

These terms apply to all subscriptions to the EiP Model Library, provided by Excel in Property Limited.

1. CONTRACTING PARTIES

The Model Library is provided by Excel in Property Limited, a company registered in England and Wales (Company No. 12339828). By purchasing access, your organisation (the subscribing company) agrees to be bound by these terms.

2. LICENCE AND PERMITTED USE

Access is provided under a 12-month, non-transferable, non-exclusive licence for internal use by your organisation. Each subscription includes access for two named users (primary user plus one additional authorised user “+1”). These users may use and adapt the models for internal purposes and may share model outputs – and editable files where necessary – with third parties such as JV partners or investors, solely in connection with a specific project.

Support is only provided to the named users. Additional user access and support can be added for the price set out on our website and may vary from time to time.

Models must not be redistributed, repackaged, sublicensed, or made available for reuse by any other party, whether internal or external, without our written consent.

If your licence expires or is terminated, you must delete all copies of the models from your systems unless otherwise agreed in writing.

3. SUPPORT

Support is provided as described on our website and may vary from time to time. We do not provide support to external third parties, even where they have been granted temporary access to the model by your organisation.

4. SUBSCRIPTION TERM, RENEWAL AND CANCELLATION

Your licence is valid for 12 months from the date of purchase. Licences are set to auto-renew annually unless cancelled at least 1 month prior to the renewal date. We reserve the right to update pricing for future terms.

5. PAYMENT TERMS

Payment must be made in advance, either as a one-off annual fee or through monthly instalments, depending on the option selected at checkout or agreed in writing.

Access to the Model Library will only be granted once the first payment has been received. If monthly payments are selected, continued access is conditional on timely payment each month.

6. NO REFUNDS

All purchases are final. No refunds are offered for unused or partially used subscriptions.

7. CONTENT AND AVAILABILITY

Your subscription includes access to the models and tools described on our website at the time of purchase. This content may change over time as we add new models, release updates, or retire outdated tools. We reserve the right to add, modify, or remove content at our sole discretion.

Some models may include written or video guidance to support use. These materials are supplementary and not guaranteed for all templates.

8. EMBEDDED LEGAL NOTICE

Each model includes a Legal Notice sheet, which forms part of these terms. This notice must not be removed or modified. You are responsible for ensuring that anyone you share a model with is aware of and complies with the licence terms.

9. UNAUTHORISED OR UNLICENSED USE

If any model is found to be used by a third party or organisation without a valid licence, we reserve the right to:
• Terminate your access without refund
• Charge retrospective licence fees for each unlicensed user or organisation
• Recover enforcement or legal costs incurred

You are responsible for ensuring that access to the models is restricted to permitted users within your organisation.

10. BESPOKE CHANGES AND CUSTOMISATION

Bespoke modifications or custom-built features can be requested for an additional fee, as agreed in writing. These updates will apply only to your version and will not be carried forward into future standard versions of the model unless otherwise agreed.

11. ACCURACY AND RESPONSIBILITY FOR USE

We use reasonable care to ensure that our models are well structured and free from material errors. However, we do not guarantee that the models are complete, up-to-date, or suitable for your specific purpose. You are responsible for reviewing and validating all assumptions, inputs and outputs before relying on any results.

12. NO ADVICE OR RELIANCE

The models are provided as tools to support financial analysis and decision-making. They do not constitute financial, investment, tax, legal, or other professional advice. You are solely responsible for how you interpret or apply the results generated from any model.

13. LIMITATION OF LIABILITY

Excel in Property Limited shall not be liable for any loss or damage arising from the use of the Model Library, including but not limited to financial loss, business interruption, data loss, reputational damage, or any indirect or consequential loss. Use of the models is entirely at your own risk.

14. MARKETING AND REFERENCES

Unless otherwise agreed, you grant us the right to refer to your organisation’s name and logo in our promotional materials, website, and client lists. You may opt out of this at any time by contacting us in writing.

15. VAT AND INVOICING

All prices quoted include VAT. A VAT invoice will be issued to your organisation if requested.

16. CONSUMER PURCHASES

If you are purchasing as a consumer, you acknowledge that by accessing the Model Library immediately, you waive your right to a 14-day cancellation period in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

17. FORCE MAJEURE

We shall not be liable for any delay or failure to perform our obligations under these terms due to events beyond our reasonable control, including but not limited to acts of God, pandemic, war, terrorism, cyber attacks, labour disputes, or utility failures.

18. ENTIRE AGREEMENT

These terms constitute the entire agreement between you and Excel in Property Limited in relation to the Model Library and supersede any prior understandings or agreements, whether oral or written.

19. WAIVER

No delay or failure by us to enforce any part of these terms shall be deemed a waiver of our rights.

20. GOVERNING LAW AND JURISDICTION

These terms are governed by the laws of England and Wales. Any disputes arising from or in connection with the Model Library will be subject to the exclusive jurisdiction of the courts of England and Wales.
